ASSOCIATION BYLAWS - Previous
 

below: bylaws in effect prior to 09/03/2003

Adopted unanimously by the Executive Committee, July 16 2000. Present: Nathaniel Hurd, Dick Koral, Eugene Marabello, Angel Ortega.


Resolved, that these bylaws shall be in force upon adoption by the Executive Committee.

1. NAME: Superintendents Technical Association, Inc., a.k.a., Supers Technical Association.

2. MISSION: The Club is a public service, non-profit membership organization consistent with its status as an IRS designated charitable organization (501)(c)(3) and its registration as a charitable corporation by New York State. Attendance at its meetings and workshops shall be open to all. The Club may charge a fee for attendance at workshops to cover the costs of the workshops.

3. BOARD OF DIRECTORS

a.   Membership: The members of the Board shall be members of the Club and consist of the President, the Vice President, the Secretary-Treasurer, the Webmaster, and the Presidents of Chapters of the Club.
b. Executive Committee: When the Board meets as the Executive Committee, it may add and subtract names as it sees fit. All committee chairs shall serve ex officio on the Executive Committee. The majority of the Executive Committee must be full members of the Club.
c. Meetings: The Board shall meet at least once a year under the chairmanship of the Secretary-Treasurer. In his absence, the senior Club officer present will serve as chair. A quorum shall consist of at least four members. The Executive Committee shall meet at such times as the President shall designate.
d. Powers and Duties of the Board:

1. Review the fiscal operations of the Club and make binding recommendations to the Club officers in the matters of finance and budget.
2. Order corrections to Club activities if it finds ethnic or religious discrimination in Club activities. However, this does not preclude the creation of chapters whose primary language is other than English.
3. Review Club program content to ensure that its major activity is technical education, training and public service. Issues of wages and working conditions are not proper Club concerns.
4. Represent the Club in all legal matters.

e. Duties of the Board Officers

1. The President shall be in charge of all general meetings of the Club and the general affairs of the Club. The president serves without fee.
2. The Vice President shall be in charge of general meetings when the president is absent. The vice-president serves without fee.
3. The Webmaster's duties are described below, under WEB SITE.
4. The Secretary-Treasurer shall be in charge of the central office of the Club, including publishing the Club's newsletter, Super! and render minutes of all Board, Executive Committee and general meetings, and supervise the fiscal operations of the Club. The function is the equivalent of a full-time job and the officer may be compensated for labors as the Board sees fit.

4. CLUB MEMBERSHIP

a. Full members shall be dues-paying workers in a multifamily building  maintenance capacity: superintendents and directors of maintenance, handy-persons, porters and other maintenance employees of housing companies. Each shall have one vote in all Club elections.
b. Associate members also pay dues and shall be classified as follows:

1. Building owners and co-op board members,
2. Multifamily building managers,
3. Companies: vendors and management companies, and
4. Such other categories as the Board shall create.
These may not vote but may otherwise participate in all Club activities, including holding office other than that of President and Vice President

5. DUES
Annual membership dues shall be set by the Board of Directors for each category of membership. The Club year is the calendar year. A member shall be considered delinquent if payment is not received by March 31 of the calendar year.

6. NEWSLETTER
The Club shall publish a monthly newsletter, called "Super!" The Executive Committee shall appoint its Editor, who will serve at the pleasure of the Executive Committee. The main goals of "Super!" are to publicize the Club, announce its meetings, report on previous meetings and to carry technical articles relating to the work of maintenance staffs.

7. WEB SITE
The Club shall maintain the Web site,
www.superstechnicalassociation.org. The Web shall be maintained by the Webmaster at his usual fee for non-profit organizations. The design and contents of the site shall be the province of the Executive Committee, as transmitted to the Webmaster by the Secretary-Treasurer.

8.  FISCAL
The main account of the Club shall be at GreenPoint Bank. Checks may be drawn on that account by the Secretary-Treasurer OR, in his absence, by a member of the Board designated by the Board. The Secretary-Treasurer shall also manage any funds of the Club maintained by other fiscal agents, such as the Research Foundation of the City University of New York and the New York City Technical College Foundation.

9. AMENDMENTS TO THESE BYLAWS
The Board shall have the sole power to amend the by-laws after proposed changes have been approved by a majority of the full voting membership at a regular monthly meeting, notice of which has been announced at the previous meeting and in the newsletter.

The foregoing is a true transcript of the bylaws as adopted by the Executive Committee of the Superintendents Technical Association Inc. on July 16, 2000.
